Summary

KEI Industries, incorporated in 1968 and headquartered in Delhi, is a diversified wires-and-cables manufacturer operating under a Technical Collaboration Agreement with Switzerland's BRUGG Cables to manufacture Extra High Voltage cables up to 400 kV, alongside a broad range of HV, LV, control, instrumentation, house-wiring, solar, marine and EV-charging cable products. The company sells through 2,906 dealers and distributors (54% of FY26 sales), with its top 10 dealers accounting for only 10.86% of dealer sales — a genuinely diversified, non-concentrated distribution base. Revenue grew from ₹5,727 crore in FY22 to ₹11,748 crore in FY26, a ~23% CAGR, with operating margin remarkably stable at ~10% in every one of those five years and PAT growing from ₹376 crore to ₹918 crore. ROCE stands at ~20%. These figures reconcile cleanly between screener.in and KEI's own FY26 Annual Report "Financial Highlights" page — no discrepancy flag needed, one of the two cleanest financial reconciliations found across this report's cabling category, alongside Polycab (covered elsewhere in this report).

Credit quality is unusually broadly endorsed. KEI carries a simultaneous AA+/Stable long-term and A1+ short-term rating from three separate agencies — CARE Ratings, ICRA, and India Ratings and Research — a three-way parallel endorsement this report did not find replicated elsewhere in its cabling coverage. The balance sheet is near debt-free (₹253 crore of borrowings against ₹8,956 crore of total assets), funding a large capacity-expansion program at Sanand, Gujarat (₹1,900-2,000 crore capex; Phase I commissioned December 2025 and ramping; Phase II EHV capacity targeted for March 2027) entirely from internal accruals, which management expects to add up to ₹6,000 crore of annual revenue once fully ramped. Management itself guides to ~20% revenue growth in FY2026-27, driven specifically by Sanand and a wires-capacity expansion at Chinchpada.

The data-center angle here is the most explicitly company-quantified of any name in this report's cabling category. KEI's own management told CNBC-TV18 (19 February 2026) of a "₹25,000 crore opportunity for the cable industry" from India's data-center build-out, and separately told NDTV Profit (4 August 2026) that data-center demand is expected to help push segment margins toward 12%. That said, this report treats the claim honestly: it is forward-looking market-opportunity commentary, not a disclosed DC customer or contract, and realized Cables & Wires segment margin remains ~10% today, not yet the 12% management is targeting. A fresh competitive risk has also emerged — Jefferies cut its target price on KEI by ~11% (from ₹6,920 to ₹6,150) around 11 September 2026, explicitly citing UltraTech Cement's entry into wires & cables manufacturing, while still retaining a Buy rating.

Net: a BUY. Consistent execution, an unusually broad three-agency credit endorsement, and a management-quantified (if not yet realized) data-center opportunity together justify the ~44.6x trailing multiple, which this report treats as fair rather than stretched given the growth and quality on offer.

Investment rationale
  • Management has directly quantified the data-center opportunity — "₹25,000 crore opportunity for the cable industry" (CNBC-TV18, 19 Feb 2026), with segment margins targeted to reach 12% on the back of this demand (NDTV Profit, 4 Aug 2026) — more specific, company-sourced DC commentary than most peers in this report's coverage.
  • A three-agency simultaneous AA+/A1+ credit endorsement — CARE Ratings, ICRA, and India Ratings all rate KEI at the same level in parallel, an unusually broad endorsement not replicated elsewhere in this report's cabling names.
  • Consistent, low-volatility execution: revenue grew from ₹5,727cr to ₹11,748cr over FY22-26 (~23% CAGR) with operating margin holding at ~10% in every single year — no swings, no one-off spikes.
  • A large, funded, on-schedule capacity expansion. The Sanand, Gujarat greenfield project (₹1,900-2,000cr capex) had its Phase I commissioned in December 2025 and is ramping; Phase II EHV capacity is targeted for March 2027; the whole program is funded entirely from internal accruals off a net debt-free balance sheet, with management's own ₹6,000cr incremental-revenue estimate once fully ramped.

  • Management's own disclosed FY2026-27 growth guidance of ~20%, tied specifically to Sanand and Chinchpada capacity coming online — a near-term catalyst that is company-guided, not analyst-estimated.
What gives us pause
  • The ₹25,000 crore DC opportunity and 12% margin target are forward-looking management commentary, not yet reflected in realized numbers. FY26 Cables & Wires segment margin remains ~10% — the honest read is that this is a real, quantified opportunity that has not yet shown up in the P&L.
  • No named data-center customer, hyperscaler, or disclosed DC-specific order exists. The opportunity as currently evidenced is market-level, not a company-specific contract win.
  • A fresh competitive threat has emerged. Jefferies cut its KEI target price by ~11% (₹6,920 to ₹6,150) around 11 September 2026, explicitly citing UltraTech Cement's entry into wires & cables — a well-capitalized new entrant — while still retaining a Buy rating.
  • Promoter-family concentration extends into the CFO role. Anil Gupta holds the combined Chairman-and-Managing-Director role, and Rajeev Gupta — also a Gupta family member — is both Executive Director (Finance) and CFO. The board technically and substantively meets its 50% independent-director threshold, but this is not an arms-length professional CFO structure.
  • An unresolved GST dispute remains open. A Delhi-East cross-charging matter (~₹59.04cr demand plus interest/penalty) was remanded by the Delhi High Court on 22 April 2025 for a fresh hearing and remained pending as of the 22 April 2026 governance filing; the broader aggregate of excise/service-tax/GST demands under appeal totals ~₹129.86cr.
  • Analyst consensus is unusually scattered. Trendlyne's average target of ~₹5,261 sits meaningfully below the named house targets found in this research (₹6,150-6,630), a reminder to treat any single scraped "consensus" figure with some caution.
Corporate governance assessment

1. Which rules actually apply

KEI is a mainboard NSE/BSE-listed company under the full SEBI LODR regime. Its own Q4 FY26 Compliance Report on Corporate Governance (filed with BSE/NSE on 22 April 2026) explicitly checks "Yes" to "Whether Chairperson is related to managing director or CEO" — Anil Gupta holds both the Chairperson and Managing Director titles — which triggers the SEBI LODR requirement that at least half the board be independent directors. This requirement is satisfied: of 8 directors, exactly 4 (Sadhu Ram Bansal, Shalini Gupta, Rajesh Kumar Yaduvanshi, Vinay Mittal) are Independent, i.e. exactly 50%. This confirmation comes from a primary regulatory filing rather than a company-website scrape — a better-evidenced compliance result than found for several peers in this report.

2. What the company does well

The statutory auditor is named directly in the FY26 Annual Report: M/s. Pawan Shubham & Co., Chartered Accountants (FRN 011573C). Related-party-transaction disclosure is explicit and clean: the company reports no materially significant RPTs with promoters, directors, or management during FY26, and loans/guarantees/comfort letters to the promoter group were "NA" for the half-year ended 31 March 2026. The board met twice during the quarter with full 8-director quorum and all 4 independent directors present each time, and investor grievances stood at zero pending, zero received, zero unresolved for the quarter. Litigation disclosure is granular and transparent — each dispute is itemized by date, amount, and status in the governance filing's Annexure-II, a genuinely high standard of disclosure.

3. Grey areas

Promoter-family concentration runs through both the executive and CFO layers: Anil Gupta (Chairman-MD), Archana Gupta (Non-Executive), Akshit Diviaj Gupta (Executive Director) and Rajeev Gupta (Executive Director-Finance & CFO) are all Gupta family members, occupying 4 of 8 board seats and all three executive/whole-time positions. The CFO role being held by a promoter-family executive director, rather than an arms-length professional CFO, is a structural concentration worth flagging even though it is not evidence of impropriety. Separately, KEI's own website lists CARE's short-term rating as "AA+" for commercial paper — not a valid CARE short-term scale notation — almost certainly a scraping artifact that should read A1+ (consistent with ICRA, India Ratings, and the Annual Report's own unified summary), but this was not independently confirmed against CARE's own rationale document in this research.

4. Red flags

No SEBI enforcement action or insider-trading finding was found against KEI. The Delhi-East GST cross-charging matter (~₹59.04cr demand plus interest under Section 50 CGST and penalty under Section 74(1)) was not adjudicated against the company — the Delhi High Court remanded it for a fresh hearing on 22 April 2025, and it remained pending as of the 22 April 2026 filing. Several small penalties (₹5,000 to ₹5,00,000, covering stamp duty, a RIICO waste-dumping notice, and minor income-tax matters) were disclosed transparently and duly paid — minor in isolation and not concerning.

5. Items to watch

Resolution of the Delhi-East GST matter on remand; independent confirmation of CARE's exact short-term rating symbol against its own rationale document; the full rationale text behind the June 2026 credit-rating-update filings; and whether the promoter-family CFO structure evolves as the company scales past the Sanand capacity ramp.

Governance conclusion

Reasonably confirmed adequate — better evidenced than most peers in this report. KEI's independent-director compliance and litigation disclosure are both confirmed via primary regulatory filings rather than website scrapes, a materially higher evidentiary bar than this report was able to clear for several other names. The one structural point worth pricing in, not treating as a red flag, is that promoter-family concentration extends into the CFO seat itself alongside the Chairman-MD role — a concentration risk, not a confirmed impropriety.
